Overview

The Commentary on the UNIDROIT Principles of International Commercial Contracts is written by an international team of distinguished practitioners and academics. They offer an article by article commentary on the principles to provide an accessible guide to the existing case law and legal literature, as well as a comparison with national and international legislation. The UNIDROIT Principles of International Commercial Contracts are the result of the ambitious quest to codify the lex mercatoria; those unwritten rules of the game by which merchants have always understood to do international business. Since the publication of their first version in 1994, the UNIDROIT Principles have been impressively successful. They have become a serious alternative to national contract laws in international disputes decided by arbitral tribunals, such as those administered by the International Chamber of Commerce (ICC). At the same time, they have been accepted as a model for reforming the laws on international contract, by countries such as Russia, Lithuania, and China. With the publication of a new version of the Principles in 2004, this first phase of codifying international contract law is now considered to be finished. This book provides commentary on the substantive rules on contracts with a comprehensive analysis of each provision. As a result, this book aims to increase understanding of the rules governing international contracts and aid the practical application of the Principles.

As is customary in english publications, there is a 16-page list of abbreviations, a 40-page table of transnational instruments, a 44-page table of cases, the full text in the five official languages of UNIDROIT (English, French, German, Italian and Spanish), a 110-page comparison with international uniform conventions (basically CISG and the agency convention, aswell as PECL), a 50-page chapter-to-chapter bibliography and a 69-page index. Author Information

"Jan Kleinheisterkamp was born in 1971 in Peru and grew up in South Africa, Colombia, Spain, Germany, the USA and Brazil. He read law in Germany (Freiburg, Hannover) until 1998, and then worked as a research assistant for the Department on Latin American Law of the Max-Planck-Institute of Foreign Private Law and Private International Law in Hamburg until 2002. From 2001 to 2003, he served as a clerk at the Superior Regional Court of Hamburg, delegated, inter alia, to the European Commission in Brussels. From 2003 to 2004, he worked as a research fellow at the Hamburg Max Planck Institute. His doctoral thesis on international commercial arbitration in Latin America was awarded the distinction ""summa cum laude"". In 2004, Jan Kleinheisterkamp was named Assistant Professor at the HEC School of Management, Paris."
