English summary: Corporate Governance in Listed Family Businesses The thesis examines the extent to which the legal requirements of a stock market listing are compatible with the special characteristics of family businesses, in particular the influence of the family on the company and securing the ownership position. The legal reality in family businesses is examined empirically in order to determine the fitting accuracy of the German Corporate Governance Code in family businesses and to normatively analysis the breaking points. German description: Die Untersuchung greift den bisher kaum betrachteten Typus borsennotierter Familienunternehmen auf und nimmt die Corporate Governance dieses Unternehmenstypus in den Blick. Sie geht der zentralen Forschungsfrage nach, inwieweit die (kapitalmarkt-)rechtlichen Rahmenbedingungen einer Borsennotierung mit den Besonderheiten von Familienunternehmen vereinbar sind, speziell dem Einfluss der jeweiligen Familie auf das Unternehmen und der Sicherung der Eigentumerstellung. Methodisch wurde ein interdisziplinarer Forschungsansatz gewahlt, um die Rechtswirklichkeit in Familienunternehmen empirisch zu untersuchen und die Passgenauigkeit des Deutschen Corporate Governance Kodex (DCGK) in Familienunternehmen zu bestimmen. Der DCGK ist in vielen Bereichen fur borsennotierte Familienunternehmen nicht passgenau. Der Regulierungsrahmen schrankt Familienunternehmen in der Gestaltung ein und steht in Teilen im Widerspruch zu der Interessenlage in Familienunternehmen. Die sich anschliessende normative Analyse der Bruchstellen zeigt insbesondere auf, dass das Unabhangigkeitspostulat des DCGK fur Aufsichtsratsmitglieder vom kontrollierenden Aktionar als systemfremd zu bewerten ist.
