This book facilitates a systematic comprehension of internal workings of corporate governance in practice. Facets of this multidisciplinary, constantly evolving field are discussed and interrelationships among them are explained to provide insights on how certain precepts come into play for various roles in governance. This book pragmatically explains and illustrates with a view to integrate. To keep the scope achievable, the emphasis is placed on the U.S.-based companies; where possible, differences in governance around the world are identified. Three rich sources of knowledge help shape the message of this book: existing paradigms, personal experience in governance, and research on issues and challenges of governance. Features: Permits a holistic view of the complex corporate governance landscape. Discusses and generously illustrates the practice of corporate governance. Aids understanding of issues and challenges of corporate governance. Identifies ways to advance the value of one’s role in corporate governance. """What I really like about this book is that it has adopted a pyramid style approach which means that it takes you through the basic foundational concepts and then deals with specific contents available to all the stakeholders like BODs, Shareholders, Internal/External Auditors, etc. Even the compliance part which is mostly theoretical is covered by way of touch-ups to give comprehensive information. What I have enjoyed the most are the variety of case studies both simple and sophisticated, real case studies, ones that are embedded everywhere in the pages of the book to explain different concepts which makes this book accessible even for students to understand this theory in a practical way. Lastly, my favorite chapter is the last chapter on horizons of corporate governance, because it covers the current business environment (including info on technology) in the world at large with its future issues and challenges. This makes it unique and will enrich the reader with regards to what's going on now and what's expected in future."" - Alka Adatia, Chartered Accountant and Certified Fraud Examiner ""The book delivers on the premise of being a pragmatic guide. For any new auditors, accountants, directors and investors, it provides a thorough examination of the corporate governance framework and its actors. For experienced practitioners, it provides a refresh and update on the corporate governance framework."" - Ken Doughty, CISA, CRISC, CBCP, CPRM, CRMA"
